Legal Services

Attestation:
  • To attest true copies of SAIF-Zone License, Certificate of Incorporation, Share Certificate, Memorandum & Articles of Association etc. the original of the document to be attested shall be submitted with a covering letter (this is a must) by the authorised signatory requesting for attesting the document. A nominal fee of AED.100/- is charged for 3 attested copies of the document.
Registration:
  • The contracts concluded by the investor (in their official capacity acting for and on behalf of the company) or the company's board resolutions (only for F.Z.C and F.Z.E) etc can be registered upon submittal of three original copies of such document along with a covering letter by the authorised signatory requesting registration of the document. A fee of AED.200/- is charged and one of the original shall be retained with the Legal Department
Changes/Amendments:
  • Any changes or amendments that may be required in any details like Activity, Managers Name, Name of the F.Z.C/F.Z.E, Fiscal year etc. shall always be supported with a board resolution followed by an application to the Lease & License Department requesting incorporation of such changes. Accordingly the records and documents shall be amended.

    If the change requires amendment to the Memorandum & Articles of Association (only in the case of F.Z.E or F.Z.C) the Legal Department shall prepare the addendum to the Memorandum & Articles of Association to be executed by the shareholders.

    In the event of change of activity or addition of any new activity in the license, a detailed project summary along with the board resolution shall be submitted to the lease and license department for approval.
Mortgage:
  • The companies/establishments who own structure(s) in SAIF-Zone are entitled to mortgage their structure(s) along with the movables therein as may be agreed with their local banker. The F.Z.C/F.Z.E shall provide original board resolution (approving mortgage to the concerned banker), original mortgage agreement with annexure of items mortgaged, and the duly completed SAIF-Zone mortgage agreement (available at SAIF-Zone). Accordingly a charge shall be created in the SAIF-Zone register of the F.Z.C/F.Z.E. Upon providing a discharge certificate from the bank stating their no objection the mortgage entry shall accordingly be deleted in our register.
Structure Transfer:
  • Any F.Z.C/F.Z.E may transfer their structure to any company or establishment with the approval of SAIF-Zone. An agreement (specimen available with SAIF-Zone) to that effect shall be executed and registered in SAIF-Zone between the buyer and seller
